1. Acceptance of Terms
By accessing or using FrolicDesk, you agree to be bound by these Terms of Service, our Privacy Policy, and any additional terms referenced in this document. If you do not agree, you should not use the service.
2. Definitions
- "Service" means the FrolicDesk platform, including bot builder, knowledge base, live chat, APIs, and related tools.
- "Customer" means the business entity or individual that creates an account with FrolicDesk.
- "User" means any person authorized by a Customer to access the Service.
- "Customer Data" means content, files, and communications submitted to FrolicDesk by or on behalf of a Customer.
3. Eligibility and Account Registration
You must provide accurate account information and keep it updated. You are responsible for safeguarding credentials and for all activity under your account.
4. Permitted Use
- You may use the Service only for lawful business and support operations.
- You may not use the Service to send unlawful, harmful, infringing, or abusive content.
- You may not attempt unauthorized access, interfere with system integrity, or reverse engineer protected parts of the platform except where permitted by law.
5. Subscription, Billing, and Taxes
Paid subscriptions renew according to the selected billing cycle unless canceled prior to renewal. You authorize us to charge applicable fees, including recurring charges, taxes, and plan-based usage charges where applicable.
- Plan changes may take effect immediately or at the next billing cycle depending on the selected option.
- Unless required by law, fees are non-refundable once a billing period begins.
- Customers are responsible for applicable taxes, duties, or similar charges.
6. Trial and Beta Features
Free trials and beta features may be offered at our discretion. We may modify or discontinue trial or beta access at any time. Beta features may be provided without warranties and may be subject to additional limits.
7. Customer Data and Content Rights
You retain ownership of Customer Data. You grant FrolicDesk a limited, non-exclusive license to host, process, transmit, and display Customer Data solely as needed to provide and improve the Service.
You are responsible for obtaining all necessary rights and permissions for data uploaded into FrolicDesk.
8. Security and Compliance
FrolicDesk maintains reasonable technical and organizational safeguards designed to protect Customer Data. Customers are responsible for configuring account security settings, access roles, and internal compliance workflows for their organization.
9. Integrations and Third-Party Services
FrolicDesk may interoperate with third-party services. Use of third-party tools is governed by those providers' terms and privacy practices. FrolicDesk is not responsible for third-party services, outages, or content.
10. Intellectual Property
FrolicDesk and its licensors retain all rights, title, and interest in the Service, including software, branding, and related intellectual property. No rights are granted except as expressly stated in these Terms.
11. Confidentiality
Each party agrees to protect confidential information received from the other party using reasonable care and to use such information only for purposes related to providing or using the Service.
12. Service Availability and Support
We aim to provide reliable service availability, but uninterrupted operation is not guaranteed. Scheduled maintenance and emergency updates may affect availability from time to time.
13. Suspension and Termination
We may suspend or terminate access for material breach, security risk, unlawful use, or non-payment. You may terminate your subscription at any time subject to your current billing commitments.
14. Disclaimers
To the extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.
15. Limitation of Liability
To the fullest extent permitted by law, FrolicDesk will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data. Total liability is limited to amounts paid for the Service in the 12 months preceding the event giving rise to liability.
16. Indemnification
You agree to defend and indemnify FrolicDesk against claims arising from your unlawful use of the Service, your content, or your breach of these Terms.
17. Changes to Terms
We may update these Terms from time to time. Material updates will be posted on this page with an updated effective date. Continued use of the Service after updates means you accept the revised Terms.
18. Governing Law
These Terms are governed by applicable laws of the jurisdiction in which FrolicDesk operates, without regard to conflict-of-law principles, unless otherwise required by mandatory law.
